# Legal Framework, Compliance & Risk Disclosure

### I. Legal Philosophy: The "Compliance-First" Approach

Mey Real operates at the intersection of international finance, real estate law, and decentralized technology. Our legal philosophy is built on a "**Compliance-First**" architecture.

Mey Real embraces a hybrid model that respects the sovereignty of local property laws while leveraging blockchain for global liquidity.

We view the Token not as a tool to circumvent the law, but as a technological wrapper that

enforces legal agreements more efficiently across borders.

### II. Corporate Governance: The Hub-and-Spoke Structure

To manage cross-border complexities and strictly separate technical risks from asset

liabilities, Mey Real employs a sophisticated **Hub-and-Spoke** corporate structure:

1. **The Hub (Mey Real Technology Foundation):**

* **Jurisdiction:** Offshore (e.g., Singapore, BVI, or Switzerland).
* **Role:** Acts as the technology provider. It develops the blockchain protocol, maintains the DApp, operates the Global Marketplace, and conducts KYC/AML verification. It does not hold physical real estate titles, protecting the platform technology from property-specific litigation.

2. **The Spokes (Local Asset SPVs):**

* **Jurisdiction:** The specific country where the asset is located (The "Jurisdiction of Origin" - e.g., Vietnam, Dubai, Australia).
* **Role:** These are Local Special Purpose Vehicles (Limited Liability Companies) established for the sole purpose of holding the asset.
* **Function:** These entities hold the legal Title Deeds/Red Books and are the signatories of the Investment Contracts with token holders. They are subject to the local real estate and tax laws of their respective countries.

### III. Token Classification & Legal Definition

To navigate the complex global regulatory landscape (including SEC, MiCA, and VARA

guidelines), Mey Real defines its tokens carefully to distinguish them from traditional securities

or direct land ownership.

1. **Asset-Backed Token (ABT):** The Mey Real Token is defined as a digital certificate of Contractual Rights.
2. **Nature of Rights:** The token does not convey direct ownership of the land title (which remains with the SPV). Instead, it conveys the Economic Rights, specifically:

* **Right to Revenue Sharing:** Receiving dividends from rental activities.
* Right to Capital Gains: Receiving profit shares upon the sale of the underlying asset.
* **Legal Instrument:** The issuance is backed by a digitized "Profit Sharing Agreement" or "Investment Contract" attached to the token metadata. This ensures the token is

  treated as a derivative of a civil contract rather than an unauthorized stock issuance.

### IV. Asset Custody: Ring-Fenced SPV Mechanism

To maximize investor safety, we apply the **Ring-Fencing** principle used in institutional private

equity:

* **One Asset = One SPV:** Each major real estate asset (or specific portfolio) is held by a distinct SPV. This ensures that if one property faces legal issues or bankruptcy, it does not affect the assets held in other SPVs or the platform itself.
* **Independent Custody:** The title deeds and legal documents of the SPV are held by a licensed third party custodian or law firm in the local jurisdiction, ensuring the asset cannot be sold or mortgaged without the approval of the governance protocol.

### V. Smart Contract Enforcement (Algorithmic Compliance)

Mey Real replaces "**trust in human intermediaries**" with "**trust in code**" The legal terms of the

Investment Agreement are translated into immutable Smart Contract logic:

* **Automated Distribution:** When the Local SPV deposits revenue (in fiat/stablecoin), the Smart Contract automatically executes the distribution based on the exact percentage of tokens held by each wallet. This eliminates the risk of embezzlement or delayed payments.
* **Immutable Record:** The purchase of a token triggers an on chain transaction that serves as a Time Stamped Digital Signature. In any court of law, this serves as undeniable evidence that the user entered into the Investment Agreement with the SPV.
* **Conditions of Sale:** The logic for selling the underlying asset (e.g.,"Asset must be sold after 5 years or if price increases by 200%") is pre-programmed, ensuring the SPV acts in the best interest of token holders.

### VI. Compliance Layer (KYC/AML & Permissioning)

Mey Real utilizes a **Permissioned Token Standard** (compatible with ERC-3643 or similar) to

ensure full regulatory compliance:

* **Identity Verification:** No wallet can hold or trade Mey Real tokens without passing a strict KYC (Know Your Customer) and AML (Anti-Money Laundering) check handled by the Hub.
* **Geofencing & Whitelisting:** The Smart Contract checks the user's registry status before every transfer. It can automatically block transfers to users from sanctioned nations or jurisdictions where the offering is not authorized, ensuring the platform never violates international sanctions.

### VII. Transparency & Proof of Reserves

To bridge the gap between off-chain assets and on-chain values:

* **On-Chain Documentation:** Legal documents (Title Deeds, Appraisal Reports, Insurance Policies) are hashed and stored on decentralized storage (IPFS/Filecoin). The hash is embedded in the Token, allowing anyone to verify the document's authenticity without a middleman.
* **Oracle Integration:** We utilize verified Oracles (like Chainlink) to feed real-world data (e.g., property valuation updates, currency exchange rates) into the system, ensuring the "Net Asset Value" (NAV) displayed on the dashboard is accurate and tamper-proof.

### VIII. Dispute Resolution & Governing Law

Recognizing the global nature of the platform, Mey Real adopts a **Bifurcated Dispute**

**Resolution Mechanism**:

* **Asset Disputes (The "Hard" Layer):** Any dispute regarding the physical property, tenant issues, or asset management is governed by the Local Laws of the Jurisdiction of Origin and resolved in local courts. This ensures enforceability over the physical land.
* **Platform Disputes (The "Soft" Layer):** Any dispute regarding the Smart Contract, tokenomics, or platform fees is governed by the laws of the Hub’s Jurisdiction (e.g., Singapore) and resolved through International Arbitration (e.g., SIAC). This provides a neutral, efficient ground for global investors.
